Consumer Terms of Service

1.1 Eligibility

You must be at least 18 years old to use the Services. If you are using MxM on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

1.2 Account Credentials

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. HoC is not liable for any loss or damage arising from your failure to protect your account security.

2.1 Ownership of Content

As between you and House of Content LLC, you retain all rights, title, and interest in and to the text, files, images, prompts, or other data you provide to MxM ("Input"). You represent and warrant that you own or have the necessary licenses to use all Inputs you provide.

Subject to your compliance with these Terms, House of Content LLC hereby assigns to you all its right, title, and interest in and to the assets and content generated by the Services based on your Input ("Output"). You hold 100% commercial rights to your Output.

2.2 Model Training and Third-Party Providers

Our Commitment: House of Content LLC respects your privacy and intellectual property. We guarantee that House of Content LLC does not and will not directly use your Input or Output to train, fine-tune, or otherwise improve our own proprietary artificial intelligence models. Your data remains isolated within your account for your specific use of the Services.

Third-Party AI Models: To deliver the advanced capabilities of MxM, our platform integrates with industry-leading, third-party artificial intelligence models and APIs. Please be aware that when your Input is processed through these external providers to generate your Output, your data is subject to their respective terms of service and privacy policies. While we configure our integrations to protect user privacy to the maximum extent available, some third-party providers may retain or utilize processed data to improve their own underlying systems. By using the Services, you acknowledge that House of Content LLC makes no warranties regarding, and assumes no liability for, the specific data training practices of these external third-party model providers.

2.3 Limited License to Provide the Service

To operate MxM, you grant House of Content LLC a limited, non-exclusive, worldwide, royalty-free license to host, reproduce, and process your Input and Output solely for the purpose of providing the Services to you.

2.4 Usage Data and Analytics

For the avoidance of doubt, our "Zero Training Guarantee" applies strictly to your creative Content (Inputs and Outputs). House of Content LLC may collect and analyze generalized, anonymized metadata and telemetry regarding your use of the platform ("Usage Data"). This includes information such as the volume of requests, API call frequencies, model selection, and credit consumption. We use this Usage Data exclusively for billing purposes, monitoring system performance, preventing fraud, and ensuring platform stability. Usage Data does not include the content of your text prompts, uploaded files, or generated assets, and is never used to train AI models.

Ownership

You possess the necessary rights for any material you use.

No Infringement

Your use of the Services will not infringe on the trademarks, copyrights, or publicity rights of third parties (including celebrities or known brands).

Compliance

You will not use the Services to violate any law or our Usage Policy.

5.1 Subscriptions & Automatic Renewal

Certain features of MxM are available only through a paid subscription. All subscriptions to the Service are billed on a recurring basis (monthly, quarterly, annually, or as otherwise specified during checkout). Your subscription will automatically renew at the end of each billing cycle under the same conditions unless you cancel your subscription before the renewal date.

5.2 Cancellation

You may cancel your subscription at any time through your account 'Manage Subscription' tab (accessible only to account Admin Users) or by contacting our support team at support@mxmai.io. To avoid being charged for the next billing cycle, you must cancel your subscription at least twenty-four (24) hours before your next scheduled renewal date. If you cancel after your subscription has renewed, you will retain access to the Service until the end of the current billing period, and your subscription will not renew further.

5.3 Strict No-Refund Policy

ALL PURCHASES AND RENEWALS ARE FINAL. HOUSE OF CONTENT LLC (OWNERS OF MXMAI.IO) DOES NOT OFFER REFUNDS, CREDITS, OR PRORATED BILLING FOR ANY SUBSCRIPTIONS, INCLUDING AUTOMATIC RENEWALS. IF A SUBSCRIPTION AUTOMATICALLY RENEWS BECAUSE YOU FAILED TO CANCEL IT PRIOR TO THE RENEWAL DATE, YOU WILL NOT BE ENTITLED TO A REFUND, REGARDLESS OF WHETHER YOU REQUESTED THE REFUND IMMEDIATELY AFTER THE CHARGE (E.G., ONE DAY OR ONE WEEK INTO THE BILLING PERIOD) AND REGARDLESS OF WHETHER YOU HAVE USED THE SERVICE DURING THAT PERIOD.

5.4 Chargebacks and Disputes

By purchasing a subscription, you agree not to initiate fraudulent chargebacks with your bank or credit card provider for automatic renewals. If you believe there has been a billing error, you must contact us immediately at support@mxmai.io.

6.1 "As Is" Service and No Warranty of Originality

MxM is provided on an "AS IS" and "AS AVAILABLE" basis. House of Content LLC does not represent, warrant, or covenant that any Output will be original, will not infringe upon the intellectual property or privacy rights of any third party, or will be legally commercially viable in all jurisdictions. Your use of the Services and the commercial application of any Output is strictly at your own risk. You are solely responsible for ensuring that your use of the Output complies with all applicable laws and does not violate third-party rights.

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOUSE OF CONTENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL HOUSE OF CONTENT LLC’s TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO HOUSE OF CONTENT LLC IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. YOU TAKE FULL LEGAL AND FINANCIAL RESPONSIBILITY FOR THE CONTENT YOU PROVIDE AND THE RESULTING OUTPUT. YOU AGREE THAT NO LIABILITY CAN BE TRACED BACK TO HOC FOR THE CONTENT YOU GENERATE.

6.3 Indemnification

You agree to defend, indemnify, and hold harmless House of Content LLC, its officers, directors, affiliates, and employees from any claims, liabilities, damages, and expenses (including attorney's fees) arising out of your use of the Services, your Input, your Output, or your violation of these Terms.

8.1 Updates to Terms

We may update these Terms from time to time to reflect changes in the law or our Services. We will provide notice of material changes. Your continued use of the Services implies acceptance of the updated Terms.

8.2 Governing Law

These Terms are governed by the laws of the State of Massachusetts, without regard to its conflict of law principles.

8.3 Dispute Resolution, Time Limitation, and Class Action Waiver

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court. You and House of Content LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
